Selecting directors in state-owned enterprises: the independent expert's role

The general framework

In Romania, corporate governance of state-owned enterprises is mainly regulated by Government Emergency Ordinance No 109/2011, approved with amendments by Law No 111/2016, and its implementing rules. Board members and directors are selected through a transparent procedure which, in certain situations, may be carried out with the support of an independent recruitment expert.

The usual stages

  • publishing the selection notice with the general and specific conditions;
  • preliminary review of applications and drawing up the long list;
  • assessing candidates and drawing up the short list;
  • short-listed candidates submitting a statement of intent;
  • the interview and the final selection report.

What the independent expert does

The expert runs the process, reviews applications, builds the board profile matrix and assessment grid, takes part in interviews and writes the report with reasoned recommendations. The appointment decision belongs to the competent bodies, as provided by law.

Non-negotiable principles

  • non-discrimination, equal treatment and transparency;
  • avoiding conflicts of interest and incompatibilities;
  • confidentiality of candidate data.

We apply these principles in every project and document each stage so the process can be checked at any time.
